I'm sure the contents are the same but it's not uncommon for different retailers to have identical products with different UPCs.

Do UPCs really matter that much...?

If you need to return one to a different store then yes. I bought two (one from GS which isn't here yet and another from Amazon which came in damaged). Amazon doesn't have anymore so I can't exchange it, but Gamestop said they would if the UPC is the same.
